The majority of buyers, purchases a business for its income, and cash flow can be expressed in many ways, typically either as Earnings Before Interest, Taxes, Depreciation and Amortization (EBITDA) or seller’s Discretionary Earnings (SDE). In small businesses, EBITDA or SDE are the most common for setting a selling price. The higher the cash flow the more interest the buyer will have in buying the business.

A Business’s cash flow can be impacted by many outside factors that will pose a risk to its full operation. Such factors can be macro-economic trends, competitive forces, industry, and reliance on vendor relationships.
